Non-Performing Loan Book Buyouts

Selective review of qualifying secured NPL and distressed credit portfolios.

Distressed Credit & Loan Portfolios

A specialist exit route for qualifying loan books.

Carter Family Office can work with established specialist counterparties and capital partners to assess qualifying non-performing and sub-performing loan portfolios where an owner is considering a whole or partial book sale, transfer or structured exit.

The focus is on credible portfolios with clear underlying data, identifiable exposures, enforceable security or collateral where applicable, and sufficient scale or concentration to justify specialist review. Transactions are considered selectively across the UK and selected international markets.

Portfolio Scope

What may be considered.

Secured Property Loan Books

Portfolios backed by identifiable residential investment, commercial or other real-estate collateral, subject to title, valuation, security and jurisdictional review.

Commercial & SME Secured Credit

Qualifying business or commercial loan portfolios where security, borrower status, documentation and recovery position can be assessed clearly.

Sub-Performing Portfolios

Seasoned books with payment stress, arrears or modified performance profiles where the underlying economics and servicing history can be analysed.

Distressed Secured Exposures

Non-performing positions supported by identifiable collateral, guarantees or other enforceable rights, subject to legal and recovery analysis.

Concentrated Portfolios

Smaller books or concentrated pools may be considered where exposure size, collateral quality and transaction economics justify specialist review.

Special Situations

Selected portfolios involving restructurings, insolvency processes, litigation or other complex circumstances may be reviewed where the facts and legal position are sufficiently clear.

Initial Review

Information matters before pricing can.

Portfolio Data

A current data tape or schedule showing exposures, balances, payment status, borrower type, arrears, maturity and relevant segmentation.

Security & Collateral

Details of underlying security, valuations, lien or charge position, guarantees, existing encumbrances and any material collateral issues.

Performance & Recovery Status

Servicing history, arrears profile, restructurings, enforcement activity, litigation, insolvency or recovery actions already underway.

Sale Parameters

Portfolio face value, expected transaction scope, jurisdiction, desired timetable, preferred structure and any pricing or process expectations.

Transaction Process

From portfolio screening to potential buyout.

1. Screening & Fit

Initial assessment of portfolio type, scale, jurisdiction, security profile, data quality and likely specialist-buyer appetite.

2. Specialist Review

Where there is alignment, relevant counterparties can review the data set, portfolio characteristics and proposed transaction route in greater detail.

3. Indicative Approach

Subject to sufficient information and buyer appetite, the process may progress to an indicative view on structure, diligence requirements and potential commercial terms.

4. Diligence & Execution

Legal, loan-file, collateral, regulatory, servicing and financial diligence are completed as required before documentation, transfer and settlement.

Relationship-Led Execution

The right buyer matters as much as the headline price.

NPL and distressed-credit portfolios are specialist transactions. Buyer mandate, servicing capability, jurisdiction, collateral type, recovery strategy and transaction structure all affect whether a portfolio is genuinely executable.

Carter FO’s role is to help identify relevant specialist relationships, position the opportunity coherently and coordinate an appropriate route for credible portfolios rather than circulate sensitive loan-book information indiscriminately.

“In distressed credit, fit, information quality and execution capability matter as much as access.”
